A vending route launch checklist for Wyoming

What should I check off before a vending machine goes live in Wyoming?

Paperwork before the truck is loaded

Do the filings before the machines are bought. A machine waiting on paperwork is a machine depreciating in a garage.

The LLC files for $100 with a registered agent lined up. The EIN comes free from the IRS the same day. The sales tax license is $60 per place of business, and the food license at $200 follows if any machine vends food.

Work that order and nothing blocks anything. Skip the agent and the LLC form cannot be filed; skip the food license and the machine cannot legally be stocked. The setup guide carries the same order with the reasoning.

$60Wyoming charges a $60 sales tax license fee from each new vendor, a separate license is required for each place of business, and the initial retail food licensing fee for a food establishment is $200. — Wyoming Statutes Annotated, Title 39, W.S. 39-15-106(a) and (b), retrieved 2026-09-29

Each location, checked in one pass

Walk each location with one page of questions. Foot traffic with a wait, power within reach of the machine, and an owner who will sign.

Sign the location agreement before the machine is placed: commission, term, power, repairs, removal notice, one page. Collect the owner's W-9 the same day, because commission crossing $600 in a year is a 1099 obligation and January belongs to whoever collected the forms.

Check the county's combined sales tax rate where the machine stands. The state takes 4% and the county may take more, and the machine's pricing should know that before the first coin drops.

The agreement terms and the tax rules that govern them are laid out in the location agreements guide.

A food machine's own gate

A machine that vends food does not go live the day it is plugged in. It goes live the day the license lands.

Plans and specifications go in for approval 30 days before any construction or install for a new establishment. The pre-opening inspection is arranged fourteen days ahead, with refrigeration holding temperature and no food stored before approval.

The license fee lands at the inspection: $200 initial, $100 a year after, per the Department's current guide. Expect at least one inspection a year after that, more for higher-risk setups.

Run that sequence in the food licensing guide before the truck is loaded, because this gate is the one that stops a launch day.

The first week of live machines

Start the per-machine record on day one, not the first filing season. Location, serial number, monthly revenue: the three things the state's vending rule names, and the three things a commission check reconciles against.

Price every vend as tax-included and set the tax share aside on collection day. The state's formula backs it out of the gross receipts exactly, so the set-aside is arithmetic, not estimation.

Pay each owner the agreed commission on the agreed cycle with the numbers attached. A commission check with the machine's monthly total written on it is the agreement's memory.

The formula and the records requirement, with the rule text, are on the sales tax page.

Wyoming rules require vending machine vendors to keep records showing each machine's location, its serial number, and its revenue for each monthly period. — Wyoming Department of Revenue, Sales and Use Tax Rules, Chapter 2, Section 12(dd)(i), retrieved 2026-09-29

Wyoming rules allow tax on gross receipts where receipts do not accompany each sale, such as coin operated vending sales, by the formula Tax = Gross Receipts - (Gross Receipts / (1 + Tax Rate)). — Wyoming Department of Revenue, Sales and Use Tax Rules, Chapter 2, Section 5(k), retrieved 2026-09-29

The dates worth a second calendar

Write four dates down before the first machine goes live, because none of them announce themselves.

The LLC's annual report lands on the first day of the anniversary month, at $60 or more. The property list lands on March 1, or the assessor values the machines from best information. The quarterly estimates land in April, June, September and January. The sales tax returns land on whatever schedule the Department assigned at licensing.

The one trap worth naming twice: miss the annual fee's notice and its 60 days, and the LLC is deemed defunct. Two years of reinstatement window is a long apology for a missed month.

The yearly obligations page holds each date with its source. Set the reminders now, while the launch adrenaline is still doing free labor.

$60A Wyoming LLC pays $60 or two-tenths of one mill on Wyoming assets, whichever is greater, on or before the first day of the anniversary month of organization. — Wyoming Statutes Annotated, Title 17, W.S. 17-29-209(a), retrieved 2026-09-29

March 1Personal property not listed with the county assessor by March 1 is assessed from the best information available, with the date extendable to April 1 on written request by February 15. — Wyoming Statutes Annotated, Title 39, W.S. 39-13-107(a)(i), retrieved 2026-09-29

60 daysA Wyoming LLC that fails to pay the required annual fee is deemed defunct and forfeits its articles of organization unless compliance is made within 60 days of the Secretary of State's notice. — Wyoming Statutes Annotated, Title 17, W.S. 17-29-705(b), retrieved 2026-09-29

When the launch stalls

Two stalls are normal and one is not. Slow locations and slow sell-through are the route learning its own geography. A refused filing or a failed pre-opening inspection is the checklist talking back.

A rejected plan or a failed inspection means something in the setup did not match the rules, and the fix is earlier in this page, not later. Revisit the section that failed and run its pass again.

When the route runs and the records pile up, the same records become the exit's price tag. The route sale page covers what the whole operation is worth when the machines, the stock and the goodwill change hands.

Until then, the checklist's job is unglamorous: every box ticked, every date set, every machine live and legal on the day it is plugged in.

15 calendar daysA Wyoming vendor has fifteen calendar days from notification to submit a corrected sales tax report without late filing penalties, as long as the original report was filed on time. — Wyoming Department of Revenue, Sales and Use Tax Rules, Chapter 2, Section 5(b), retrieved 2026-09-29

Questions

Can I launch without an LLC to start?

Yes. A sole proprietorship with a sales tax license per location is legal to operate. The LLC can follow once the route proves itself, and [the structure comparison](/business-structure/) covers the timing.

Which items on the checklist cost money?

The $100 LLC filing, the $60 sales tax license per place of business, the $200 initial food license where food machines run, and the $60 annual report each year. The EIN is free.

What single item is most often skipped?

The per-machine record sheet. It feels optional until the first return, the first commission dispute or the first buyer asks, and it is the only item on this list the state's rules spell out in the vending chapter itself.

How long does the food license track take?

Plan on the 30-day plan review window plus the inspection scheduling window. A route planning a food machine for a specific season should start the paperwork a season ahead.
